Terms and Conditions of Sale
1. Introduction
These Terms and Conditions govern the sale of marine safety and Aux equipment to the customer. By placing an order, you agree to be bound by these Terms.
2. Products and Services
We supply various marine safety equipment, including but not limited to life saving equipment’s and associated services. Product descriptions are provided for information purposes and do not constitute a binding specification.
3. Orders and Acceptance
- All orders are subject to availability and acceptance by us.
- We reserve the right to reject or cancel any order without liability.
- Orders must be confirmed in writing (email or signed purchase order).
- Deposit once paid on Orders are not refundable
- All products are warranty from the original manufacturer,”Oceanalpha-Australia” is will only honour the “Original manufacturers” warranty.
- No warranty on electrical components
- All sales are binding and final
- 1st demo is for free. All subsequent demos are incur a charge or has agreed.
4. Prices and Payment
- All prices are in [currency on the invoice provided] and exclusive of applicable taxes and shipping charges unless otherwise stated.
- Full payment is due [before shipment / within 7 days of invoice date].
- Late payments may incur interest at 5% per month.
5. Delivery
- Delivery dates are estimates only and are not guaranteed.
- Risk of loss passes to the Customer if the shipment is not insured.
- Insurance must requested and is not by default.
- We are not liable for delays due to events beyond our control (force majeure).
6. Warranty and Liability
- We warrant that our Products conform to their specifications at the time of delivery and are free from material defects for a period of 1years.
- Warranty is void if Products are misused, altered, or not maintained as recommended.
- Our liability is limited to repair, replacement, or refund of the defective Product. We are not liable for indirect, incidental, or consequential damages.
7. Returns and Cancellations
- Returns for repairs are only accepted with prior written consent and must be in reuseable packaging for return back to the customer
- Custom or special-order items are non-returnable.
- Cancellation of confirmed orders may incur restocking or cancellation fees.
8. Compliance and Certification
- The Customer is responsible for ensuring that Products meet local regulatory requirements.
- Certification documents will be provided where applicable.
9. Intellectual Property
All intellectual property rights in the Products, logos, manuals, and content remain the property of “Oceanalpha-Australia” or its licensors.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Jurisdiction Western Australia Perth. Any disputes shall be subject to the exclusive jurisdiction of the courts of Western Australia Perth.
11. Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, war, embargoes, labour disputes, or government actions.
12. General
- No waiver of any term shall be deemed a further waiver of any other term.
- If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force.
- These Terms constitute the entire agreement between the parties.
